By creating an account, accessing, or using VideoEstate.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. VideoEstate.ai provides an AI-powered platform that enables real estate professionals to generate professional videos from property images. The Service includes: - AI-powered video generation from uploaded property images - Customizable video parameters (camera motions, length, clips, prompts) - Support for various video formats (horizontal and vertical) - Video download and sharing capabilities - Team collaboration features (for applicable plans) We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

6.1 Ownership: You retain all ownership rights to the images and materials you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to use, process, and store Your Content solely for the purpose of providing the Service and generating AI-created videos. 6.2 AI-Generated Content: You own the videos and other content generated by our AI from Your Content, subject to your compliance with these Terms. You may use AI-Generated Content for commercial purposes, including marketing real estate properties. 6.3 Restrictions: You agree not to upload any Content that: - Infringes on any third-party intellectual property rights - Contains illegal, harmful, or offensive material - Violates any applicable laws or regulations - Contains personal information of individuals without their consent (for property listings, ensure you have proper authorization) 6.4 Real Estate Compliance: You are solely responsible for ensuring that all property listings and related content comply with applicable real estate advertising laws and regulations in your jurisdiction.

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically: - Use the Service to create videos for legitimate real estate marketing purposes - Do not use the Service to create misleading, false, or deceptive property representations - Do not attempt to reverse engineer, decompile, or extract the AI models or algorithms - Do not use automated systems to access the Service in a manner that could damage, disable, or overburden our systems - Do not share your account credentials with unauthorized parties - Respect intellectual property rights of others

8.1 Plans: We offer various subscription plans with different features and video generation limits. Plan details, pricing, and features are subject to change with notice. 8.2 Payment: Subscription fees are billed in advance on a monthly or annual basis, as selected. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. 8.3 Video Credits: Video generation credits are allocated according to your subscription plan. Unused credits do not roll over to subsequent billing periods unless explicitly stated in your plan. 8.4 Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be provided for the current billing period. 8.5 Price Changes: We reserve the right to modify subscription prices with 30 days' notice to existing subscribers.

9.1 AI Nature: Our Service uses artificial intelligence to generate videos. While we strive for high-quality results, AI-generated content may not always meet your expectations. The Service is provided "as is" without warranties regarding specific outcomes. 9.2 No Guarantees: We do not guarantee that AI-generated videos will be error-free, accurate, or suitable for all purposes. You are responsible for reviewing and approving all generated content before use. 9.3 Continuous Improvement: Our AI technology is continuously improved. Results may vary over time as we enhance our algorithms and models.

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. We are committed to GDPR compliance and protecting your personal data and the data of individuals whose information may be included in property listings.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDEOESTATE.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim. We are not responsible for any losses or damages resulting from: - Inaccurate or misleading property information you provide - Legal issues arising from your use of generated videos - Third-party claims related to your content or use of the Service

You agree to indemnify, defend, and hold harmless VideoEstate.ai, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: - Your use of the Service - Your Content or AI-Generated Content - Your violation of these Terms - Your violation of any third-party rights - Any real estate advertising or regulatory violations

We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including if you violate these Terms. Upon termination, your right to use the Service will immediately cease. We may delete your account, Content, and AI-Generated Content upon termination, subject to applicable data retention requirements.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Camera Arbitrale Nazionale e Internazionale di Milano, except where prohibited by law.
